C3 AI ACCELERATOR PROGRAM

CUSTOMER ACKNOWLEDGMENT

This Customer Acknowledgment Agreement (the “Acknowledgment”) is entered into between You and C3.ai, Inc. (“C3 AI,” or “Us”) in connection with Your participation in a C3 AI Accelerator Program (as defined below). The term “You” refers to the C3 AI customer agreeing to this Acknowledgment.

BY COMPLETING THE REQUISITE INFORMATION AND CLICKING “I AGREE” (OR A SUBSTANTIALLY SIMILAR ACTION) OR BY ACCESSING OR USING C3 CODE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS ACKNOWLEDGMENT AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS ON BEHALF OF YOUR COMPANY.

1. The “C3 AI Accelerator Program” or “Program” means a bootcamp, workshop, or similar session(s) offered by Us in which You participate to learn about, and build applications using C3 Code, the C3 AI Platform and other C3 AI Software.

2. The Program is expected to typically last one to two days (the Base Program), but may be extended for up to 30 days at Our sole discretion (any extended period shall be referred to as the Extended Program).

3. The Program is at no-cost to You with respect to any C3 AI subscription or C3 AI Runtime fees for the Program, no third party LLM fees for the Base Program hosted by C3 AI, and subject to applicable third party LLM fees for the Extended Program if hosted by You or in excess of applicable limits (to be communicated to You) for the Extended Program if hosted by C3 AI.

4. The parties hereto agree that the pre-existing end user license agreement (EULA), or applicable master agreement to the extent applicable terms are set forth therein, between You and Us (the “Existing Agreement”) shall apply to the access and use of C3 AI Materials, including C3 Code, in connection with the C3 AI Accelerator Program. Terms not otherwise defined herein shall have the meaning set forth in the Existing Agreement.
